Terms of Service

1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access to and use of the Hubviously platform and services (collectively, the "Service") operated by HS Simple, a French société par actions simplifiée unipersonnelle (SASU) registered with the Registre du Commerce et des Sociétés de Paris under SIREN 949 810 444, with its registered office at 200 Rue de la Croix Nivert, 75015 Paris, France ("Hubviously," "we," "us," or "our").
By creating an account, accessing, or using the Service, you ("User," "Customer," or "you") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.
If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Definitions
- "Service" means the Hubviously software-as-a-service platform that connects to HubSpot portals to analyze and visualize workflow dependencies and related automation metadata.
- "Account" means the user account created to access the Service.
- "Organization" means a workspace within the Service, which may include multiple Users.
- "Connected Portal" means a HubSpot portal that has been authorized via OAuth for analysis by the Service.
- "Subscription" means the paid plan associated with an Organization.
- "Customer Data" means any data submitted to or generated within the Service by a User, including metadata accessed from Connected Portals via OAuth.
3. The Service
3.1 Description
The Service connects to HubSpot portals through OAuth and reads structural metadata about automation assets (workflows, properties, lists, forms, marketing emails) to produce dependency graphs. The Service is designed to help HubSpot administrators and RevOps teams audit, debug, and safely modify complex automation configurations.
3.2 Scope of Data Access
The Service accesses only metadata about automation configuration. The Service does not access, read, store, or process:
- Contact records, deal records, or other CRM data
- Email content, calling records, or customer communications
- Custom object records or any business data not directly related to automation structure
3.3 Service Availability
We aim to provide the Service with reasonable uptime and continuity but make no specific availability guarantees outside of what may be set forth in a separate service-level agreement (SLA), if any.
3.4 Beta Features
We may from time to time make features available on a beta or experimental basis. Such features are provided "as is," may change without notice, and are not subject to the same warranties or service levels as the general Service.
4. Account Registration and Security
4.1 Eligibility
You must be at least 18 years of age and capable of entering into a legally binding contract to use the Service.
4.2 Registration
You must provide accurate and complete information during account registration and keep it updated.
4.3 Account Security
You are responsible for safeguarding your account credentials and for all activities under your account. Notify us immediately at hello@hubviously.com if you suspect unauthorized access.
4.4 Multiple Users in an Organization
The owner or administrator of an Organization may invite additional Users. The Organization owner remains responsible for the actions of all Users within their Organization, including ensuring those Users comply with these Terms.
5. Subscriptions, Billing, and Payment
5.1 Plans
The Service is offered under multiple subscription tiers (Free, Pro, Agency) with varying features, user and portal limits, and pricing. Current pricing and feature details are available at https://hubviously.com.
5.2 Free Plan
The Free plan is provided at no cost. We may modify the features, limits, or availability of the Free plan at any time at our discretion.
5.3 Paid Plans
Paid subscriptions are billed monthly in advance through our payment processor, Stripe, Inc. By subscribing, you authorize us (via Stripe) to charge your payment method on a recurring basis until you cancel. You acknowledge that Stripe processes payment information directly and that Hubviously does not store full payment card numbers (see our Privacy Policy for details).
5.4 Taxes
All fees are stated exclusive of applicable taxes, including French VAT and any other applicable indirect taxes. You are responsible for paying any such taxes that may apply.
5.5 Cancellation and Refunds
You may cancel your subscription at any time via your account billing page or by emailing hello@hubviously.com. Cancellation takes effect at the end of your current billing period. Subscription fees already paid are non-refundable, except where required by applicable law.
You acknowledge that the Service is intended for professional and business use, and that the EU 14-day right of withdrawal for distance contracts (Article L.221-18 of the French Code de la consommation) does not apply to B2B subscriptions.
5.6 Price Changes
We may modify subscription prices upon at least 30 days' prior written notice (typically by email). Price changes apply at the start of your next billing cycle following the notice. If you do not accept a price change, you may cancel before it takes effect.
5.7 Late Payment
If a charge fails, we will attempt automatic retries. After repeated failures over a reasonable period, we may suspend access to the Service until payment is resolved.
6. Use of the Service
6.1 License Grant
Subject to these Terms and your payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during the Subscription term.
6.2 Acceptable Use
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Resell, sublicense, or otherwise redistribute the Service to third parties without our prior written authorization
- Use the Service to violate any applicable law or third-party right
- Use the Service to transmit spam, malware, or harmful content
- Attempt to gain unauthorized access to the Service or to other users' accounts
- Interfere with the Service's operation, including by deploying bots, scrapers, or automated tools beyond legitimate API usage
- Use the Service to build or assist in building a substantially similar product that competes with the Service
- Misrepresent your identity or affiliations
- Exceed the limits of your Subscription tier (e.g., portals, users, workflows) or attempt to circumvent such limits
6.3 HubSpot Integration
When you connect a HubSpot portal to the Service:
- You represent and warrant that you have the authority to grant Hubviously OAuth access to that portal
- You are responsible for managing OAuth permissions and revoking access when no longer needed
- You acknowledge that the Service operates within the limits of HubSpot's API, which may impose rate limits, quotas, or other restrictions outside our control
7. Customer Data and Confidentiality
7.1 Ownership of Customer Data
You retain all rights, title, and interest in and to your Customer Data. We claim no ownership of your data.
7.2 License to Process Data
You grant us a limited, non-exclusive license to access, store, process, and transmit Customer Data solely as necessary to provide the Service to you. This includes processing metadata from Connected Portals.
7.3 Data Processing Agreement
For customers requiring a Data Processing Agreement (DPA) under the GDPR, UK GDPR, or similar laws, please contact us at hello@hubviously.com. A DPA will be provided upon request.
7.4 Confidentiality
Each party agrees to keep the other party's confidential information confidential and to use it solely for purposes of these Terms. This obligation survives termination of these Terms for a period of three (3) years.
7.5 Aggregated and Anonymized Data
We may use aggregated and anonymized data derived from Service usage (in a form that cannot reasonably identify you, your Organization, or your Connected Portals) to improve the Service, generate benchmarks, develop new features, or for other legitimate business purposes.
8. Intellectual Property
8.1 Our IP
The Service, including all software, designs, trademarks, logos, documentation, and content (excluding Customer Data), is owned by HS Simple and protected by intellectual property laws. We grant you no rights in our IP other than those expressly stated in these Terms.
8.2 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free, irrevocable, worldwide license to use that feedback to improve the Service, with no obligation to compensate you.
9. Third-Party Services and Subprocessors
9.1 HubSpot
The Service depends on HubSpot's API. HubSpot is a third party not affiliated with Hubviously. We are not responsible for HubSpot's availability, performance, pricing, or terms.
9.2 Subprocessors
We use third-party subprocessors (including, without limitation, Vercel, Supabase, Inngest, Stripe, Termly, and Google) to provide the Service. A current list and description of subprocessors is available in our Privacy Policy.
9.3 Third-Party Links
The Service may contain links to third-party websites or services. We are not responsible for the content, practices, or availability of those third parties.
10. Warranties and Disclaimers
10.1 Limited Warranty
We will provide the Service with reasonable skill, care, and diligence consistent with industry standards.
10.2 General Disclaimer
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or completely secure. The Service is a tool for analysis and visualization; you are solely responsible for any actions you take in HubSpot or elsewhere based on Service output.
10.3 No Advice
The Service does not provide legal, financial, regulatory, or business advice. You should not rely on Service output as the sole basis for business-critical decisions.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
11.1 Excluded Damages
Neither party shall be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost business opportunities, or business interruption, arising from or related to these Terms or the Service, even if advised of the possibility of such damages.
11.2 Liability Cap
Our total aggregate liability arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred euros (€100).
11.3 Exceptions
The above limitations do not apply to (i) gross negligence or willful misconduct, (ii) breach of confidentiality obligations, (iii) indemnification obligations, or (iv) any liability that cannot be limited or excluded under applicable law.
12. Indemnification
12.1 Indemnification by You
You agree to indemnify, defend, and hold harmless Hubviously, its officers, directors, employees, and agents from any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising from:
(a) Your use of the Service in violation of these Terms or applicable law,
(b) Your Customer Data, or
(c) Your violation of any third-party right (including IP, privacy, or contract rights).
12.2 Indemnification by Us
We will defend you against third-party claims that the Service, when used as authorized under these Terms, infringes a third party's intellectual property rights, and pay any settlements or final damages awarded. This obligation does not apply if the claim arises from (a) Customer Data, (b) modifications to the Service made by you or on your behalf, or (c) your combination of the Service with non-Hubviously products.
13. Term and Termination
13.1 Term
These Terms apply for as long as you have an Account or active Subscription with us.
13.2 Termination by You
You may terminate your Account at any time via your account settings or by emailing hello@hubviously.com.
13.3 Termination by Us
We may suspend or terminate your access immediately if you (a) materially breach these Terms, (b) fail to pay fees when due, (c) engage in fraud, abuse, or activity that may harm us or other users, or (d) we are required to do so for legal or regulatory compliance. We will provide notice of such termination when reasonably practicable.
13.4 Effect of Termination
Upon termination:
- Your access to the Service ceases immediately
- We will delete or anonymize your Customer Data within one (1) month of termination, except as required by law (for example, French Code de Commerce L.123-22 requires retention of accounting records and invoices for ten (10) years)
- Sections that by their nature should survive termination (including IP, Confidentiality, Limitation of Liability, Indemnification, and Governing Law) survive
13.5 Data Export
Prior to termination, you may export your Customer Data through Service features available at the time. We have no obligation to retain or export your data after termination.
14. Modifications
14.1 Changes to These Terms
We may modify these Terms from time to time. Material changes will be communicated via email or in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not accept the changes, you may terminate your Account before they take effect.
14.2 Changes to the Service
We may modify, add, or remove Service features at our discretion. We will not materially reduce the features available in your current paid Subscription during the paid period without your consent.
15. Governing Law and Disputes
15.1 Governing Law
These Terms are governed by French law, without regard to its conflict of law principles.
15.2 Jurisdiction
Any dispute arising from or related to these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France, except that consumers (within the meaning of EU consumer protection law) may bring proceedings in the courts of their place of residence as provided by mandatory consumer protection law.
15.3 Amicable Resolution
Before initiating litigation, the parties agree to attempt in good faith to resolve any dispute through written communication. If the dispute is not resolved within 30 days of such written notice, either party may pursue legal remedies.
15.4 Mediation
Pursuant to Article L.612-1 of the French Code de la consommation, consumers may, at no charge, refer a dispute to a consumer mediator. As a B2B service, this provision does not generally apply to professional users of the Service.
16. General Provisions
16.1 Force Majeure
Neither party shall be liable for failure to perform any obligation due to causes beyond its reasonable control, including natural disasters, acts of war or terrorism, government actions, internet or infrastructure outages, or third-party service failures.
16.2 Assignment
You may not assign these Terms or your rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
16.3 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Hubviously regarding the Service and supersede any prior or contemporaneous agreements.
16.4 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16.5 No Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

16.7 Language
These Terms are drafted in English. In case of translation into another language, the English version prevails for purposes of interpretation.
16.8 Independent Contractors
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Hubviously. Each party is an independent contractor.
